Eligibility and sanctions representations

You represent and warrant that you are at least 18 years of age and that you are not: (i) located in, ordinarily resident in, or a national of any country or region subject to comprehensive Canadian sanctions or a comprehensive U.S. embargo (including, currently, North Korea, Iran, Syria, and the Crimea, so-called Donetsk People's Republic, and so-called Luhansk People's Republic regions of Ukraine); (ii) a "designated person" under the Special Economic Measures Act (SEMA), the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law), the United Nations Act, or the Freezing Assets of Corrupt Foreign Officials Act, or otherwise identified on the Consolidated Canadian Autonomous Sanctions List published by Global Affairs Canada; (iii) identified on the U.S. Treasury Department's Specially Designated Nationals (SDN) list or the Department of Commerce's Entity List / Denied Persons List; or (iv) otherwise prohibited from receiving Canadian- or U.S.-origin technology under applicable law.

License to use the site

We grant you a limited, revocable, non-exclusive, non-transferable license to access the site for lawful informational purposes only. You may not (a) scrape, mirror, or systematically harvest content; (b) interfere with site security; (c) reverse engineer or attempt to derive source materials; or (d) use the site to develop a competing product or service.

Intellectual property

All content on this site — including the Ansei name, marks, logos, text, graphics, and the underlying software — is owned by Ansei Dynamics Inc. or its licensors and is protected by the Canadian Copyright Act, Trademarks Act, Patent Act, and applicable international intellectual-property treaties. No licence to any Ansei patent, trade-mark, copyright, trade secret, or other proprietary right is granted except as expressly stated.

No offer; no investment solicitation

Nothing on this site constitutes an offer to sell, or a solicitation of an offer to buy, securities, products, or services. Ansei's securities have not been qualified by prospectus in any Canadian jurisdiction, and any private placement will be made only in accordance with applicable exemptions under Canadian securities laws administered by the Canadian Securities Administrators (CSA) and the relevant provincial commissions (including the Autorité des marchés financiers (AMF) in Quebec). Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANSEI, ITS AFFILIATES, OR ITS PERSONNEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING OUT OF YOUR USE OF THE SITE, WHETHER IN CONTRACT, EXTRA-CONTRACTUAL LIABILITY, OR ANY OTHER THEORY. ANSEI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CA $100).

Indemnification

You agree to indemnify and hold harmless Ansei and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the site, or your violation of any law or third-party right.

Governing law, language, and venue

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising out of or relating to the site or these Terms shall be brought exclusively before the courts of the judicial district of Saint-François (Sherbrooke), Québec, and you consent to the personal jurisdiction of those courts. The parties have expressly required that these Terms and all related documents be drawn up in the English language; les parties ont expressément exigé que les présentes conditions et tous les documents connexes soient rédigés en langue anglaise.

We may revise these Terms at any time by updating this page. Material changes are noted by updating the version and effective date. Your continued use of the site after a change constitutes acceptance of the revised Terms.
